Association Bylaws

ARTICLE 1 - NAME

The name of this Association is Educational Leaders, Inc. (hereinafter referred to as the "Association").

ARTICLE 2 - PURPOSES

The purposes of the Association are as follows:

A.Facilitating communication between the membership and the Tucson Unified School District Governing Board (hereinafter referred to as "Governing Board").

B.Serving as a vehicle for promoting desirable educational policies and goals which are favorable to the administration of the schools and educational programs.

C.Securing adequate guarantees of due process which covers all work conditions for members of the Association.

D.Developing between administrators and the general public such united efforts as will secure the upgrading of education within the school district unit.

E.Assisting administrators in upgrading their abilities and fostering conditions for the development of greater task efficiency.

F.Promoting and encouraging the educational leadership skills of the members of the Association.

The objectives of this Association are promoted in cooperation with the general membership through regular and special meetings, conferences, committees, projects and programs and are confirmed and conveyed by the basic policies set forth in ARTICLE 3.

ARTICLE 3 - BASIC POLICIES

A.The Association shall be non-profit.

B.The name of the Association and the names of any members in their official capacity shall not be used in connection with any council or with any partisan interest or for any purpose not appropriately related to promotion of the objectives of the Association.

C.The Association shall cooperate with the Governing Board to support the improvement of education.

D.The Association may cooperate with other organizations and agencies concerned with or welfare of persons representing education.

E.Persons representing the Association in all matters shall make no commitments that bind the Association unless approved by the Executive Board.

F.In the event of dissolution of the Association assets shall be distributed to the active members at the time of the dissolution if permissible under the IRS Code, as revised, and incorporation statutes. If there is a conflict, final decision shall rest with the Executive Board as constituted at the time of dissolution.

ARTICLE 4 - MEMBERSHIP AND DUES

Section 1 - Active membership in the Association shall be open to those persons employed in a certified or classified administrative and/or managerial position in the Tucson Unified School District. ("District")

A.Active members shall be entitled to all the usual rights and privileges to receive such communications, directives, publications and services as may be approved by the Executive Board and/or the General Membership, to vote at all elections conducted by the Association, and to hold elective or appointive office.

B.Admission to active membership automatically assumes that the applicant on whom membership is conferred agrees to accept the procedures for enforcement of the Code of Ethics established by the Association, and accepts and adheres to the Articles of Incorporation and Bylaws of the Association.

C.Each active member in the Association shall be in good standing until he/she leaves the employment of the District or fails to pay annual dues or resigns from the Association.

D.As stipulated in the Bylaws and according to provisions established by the membership assembly, the Executive Board may suspend from membership or expel or censure any member who shall have violated the Code of Ethics of the profession, or who has been convicted in a court of law of a crime involving moral turpitude.

E.Participation in Association meetings, activities and events of any kind or nature are limited to active members of the Association and individuals specifically invited by vote of the Association Executive Board.

Section 2 - Except as provided in subparagraph I below, each active member of the Association shall pay annual dues in the amount of .55% of the average of the administrative salaries as adopted by the Executive Board at the beginning of each fiscal year.

A.An initiation fee of $100 shall be assessed each new applicant for membership. The initiation fee will be deposited in the Association's Legal Defense Fund account to assist members in legal matters. If a member resigns from the Association and thereafter applies to again become a member of the Association, that person shall not be required to repay the initiation fee in order to rejoin the Association.

B.A special designation of ten dollars ($10.00) per each member's annual dues will be assigned and deposited into the Association's Legal Defense Fund account.

C.Expenditures from the Legal Assistance Fund account shall be only as approved by the Executive Board.

D.Members may pay their dues in a single payment, or multiple payment or by payroll deduction. If the option of single or multiple payment is used, then such payment must be made in accordance with the schedule adopted by the Executive Board.

Section 3 - Retired membership status may be granted to former TUSD administrators. An annual dues payment shall be determined and established by the Executive Board. Retired members shall be entitled to one (1) voting division representative to serve on the Executive Board. Retired members may serve on committees or study groups and be allowed other privileges as provided in Article 10 and as may be bestowed by the Executive Board. All other rights and privileges not specifically enumerated herein shall remain the exclusive domain of active members in good standing as enumerated in this Article 5.

Section 4 - Honorary Membership may be granted and bestowed on persons of merit as identified and appointed by the Executive Board. Honorary members will not have the right to vote or hold office and shall be entitled only to such publications, privileges and services as may be approved by the Executive Board.

ARTICLE 5 - OFFICERS, NOMINATIONS, ELECTIONS AND VACANCY OF OFFICE

Section 1 - Officers, Nominations, Elections and Vacancy of Office.

A.The officers of the Association shall consist of the President, President Elect, Secretary, and Treasurer and will be elected by the membership at large.

B.In addition to the officers of the Association, the Executive Board shall include division representation from each division within the Association's jurisdiction based on the ratio of one representative for each twenty paid members or major fraction thereof from the following divisions:

A.ELEMENTARY SCHOOL PRINCIPALS (REPRESENTATION FROM EACH REGION)

B.ELEMENTARY SCHOOL ASSISTANT PRINCIPALS

C.MIDDLE SCHOOL PRINCIPALS

D.MIDDLE SCHOOL ASSISTANT PRINCIPALS

E.HIGH SCHOOL PRINCIPALS

F.HIGH SCHOOL ASSISTANT PRINCIPALS

G.SERVICE CENTER ADMINISTRATION

H.CENTRAL ADMINISTRATION CERTIFIED

I.CENTRAL ADMINISTRATION CLASSIFIED

J.EXTENDED YEAR OPPORTUNITY SCHOOLS

The Executive Board shall establish the yearly election criteria on the current year's membership enrollment and will initiate the election under the provisions of Section 2 of this Article.

C.Each division representative shall be a nominee from the division of the Association in which he/she serves, shall be elected to office by that membership and each division representative will be a voting member of the Executive Board.

D.The officers and division representatives shall serve for a term not to exceed two years. The President and President Elect may not serve consecutive terms.

Section 2 - Nominations and Elections

A.There shall be a nominating committee composed of at least four members appointed by the President with the concurrence of the Executive Board annually in the month of April.

B.The committee shall nominate one eligible person for each office to be filled and shall report its nominees at the regular meeting in May.

C.Only those persons who have signified their consent to serve, if elected, shall be nominated for or elected to such offices.

D.Nominations may be made from the floor by any member in good standing.

E.New Officers and Division Representatives shall take office upon the close of the regular organizational meeting in the month of May.

Section 3 - Vacancy of Office

A vacancy occurring in any office shall be filled in accordance with provisions in ARTICLE 8, Sections 4 and 6.

ARTICLE 6 - DUTIES OF OFFICERS

Section 1 - The President shall preside at all meetings of the Association and of the Executive Board; shall perform such other duties as may be prescribed in these Bylaws or assigned to him/her by the Association or by the Executive Board; and shall coordinate the work of the officers and committees of the Association; and submit to the membership an annual report of the activities of the Association, the Executive Board and Committees.

Section 2 - The President-Elect shall act as aide to the President and shall perform the duties of the President in the absence of/or inability of that officer to act.

Section 3 - The Secretary shall record the minutes of all meetings of the Association and of the Executive Board and shall perform such other duties as may be delegated.

Section 4 - The Treasurer shall have custody of all the funds of the Association; shall keep a full and accurate account of receipts and expenditures; and shall make disbursements in accordance with the approved budget as authorized by the Association or the Executive Board. An external audit shall be performed annually in the month of June by a person or persons appointed by the President.

Section 5 - All Officers and Representatives shall:

A.Perform the duties prescribed in Robert's Rules of Order in addition to those outlined in these Bylaws and those assigned from time to time.

B.Deliver to their duly elected successors all official material no longer than ten days following the assumption of office by their successor.

ARTICLE 7 - EXECUTIVE BOARD

Section 1 - The Executive Board shall consist of the four officers of the Association, Division Representatives and the Immediate Past-President (Ex-Officio). All officers shall be elected under procedures and rules established by the membership. Only elected members of the Executive Board are voting members.

Section 2 - The Immediate Past President shall be an ex-officio member of the Executive Board and shall advise the Executive Board and assist the President at the President's request.

Section 3 - The Executive Board shall be the executive authority of the Association and shall be responsible for the management of the Association.

Section 4 - Members of the Executive Board shall serve until election and qualification of their successors.

Section 5 - When vacancies occur on the Executive Board as a result of a change in employment, resignation or disqualification, the Executive Board shall fill the position by appointment for the remainder of the unexpired term.

Section 6 - The Executive Board shall:

A.Take office at the end of the regular installation meeting in May of each year.

B.Transact all necessary business in the intervals between Association meetings and other business as may be referred to it by the Association.

C.Carry out policies established by the membership.

D.Report its full actions and those of the membership assembly to the membership.

E.Suggest policies and policy changes for consideration to the membership.

F.Develop a budget to present to the membership at the April meeting.

G.Approve annual staff personnel contracts each fiscal year as provided in the annual budget of the Association, and through the President of the Association, submit any and all contracts to staff personnel on or before June 1 of each year.

H.Create standing committees, special committees and study groups as necessary to carry out the goals and objectives of the Association.

I.Require each committee and study group to prepare an annual summary of committee activities for submission to the President for inclusion in his/her annual report to the membership.

J.Regular meetings of the Executive Board shall be held monthly during the months of September through May at a time fixed by the Executive Board. A majority of the voting members of the Board present at any meeting shall constitute a quorum for the transaction of business. Special meetings of the Board may be called by the President or by a majority of the members of the Board.

ARTICLE 8 - MEETINGS OF THE ASSOCIATION

Section 1 - Regular meetings of the Association may be held monthly on a date determined by the Executive Board.

Section 2 - Special meetings may be called by the Executive Board, as may be necessary.

Section 3 - The annual meeting shall be held in May.

Section 4 - A majority of the members present at any meeting shall constitute a quorum for the transaction of business.

ARTICLE 9 - STANDING COMMITTEES, SPECIAL COMMITTEES AND STUDY GROUPS

Section 1

Section 1 - The Executive Board shall establish such standing committees, special committees and study groups as are required to conduct the programs of the Association and shall determine their structure, membership and length of service.

Section 2 - The President shall appoint the members of all standing committees, special committees and study groups except that he/she may delegate such appointive rights to the chairpersons of each appointive unit.

Section 3 - The President shall appoint the chairperson of the standing committees, special committees and study groups. The chairperson shall serve a one year term and may serve no more than two consecutive terms.

Section 4 - The chairperson of each committee or study group shall make reports to the President, Executive Board or general membership as requested.

Section 5 - The President shall be an ex-officio member of all committees and study groups except the nominations and elections committees. No member of the Executive Board may serve on either the nominations or elections committees.

ARTICLE 10 - FISCAL YEAR

The fiscal year of the Association begins on June 1 and ends the following May 31.

ARTICLE 11 - PARLIAMENTARY AUTHORITY

Roberts' Rules of Order, Revised, shall govern the Association in all cases in which they are not in conflict with these Bylaws.

ARTICLE 12 - AMENDMENTS

These Bylaws may be amended at any regular or special meeting of the Association by a two-thirds vote of the members whether present physically or by proxy or by two-thirds of the mailed ballots returned provided that notice of the proposed amendments shall have been given at the previous meeting or in written form to the membership thirty days prior to the convened meeting or ballot due date.
